General Terms and Conditions of Sale (GTC)

1. Scope

These General Terms and Conditions of Sale (GTC) govern the sale of products (notably backpacks, baskets, and similar items) by INNOV BACK PACK to both professional and individual clients located within the European Union.

2. Orders

Orders are initiated via a form on the website innovbackpack.com or by email.
A quote is sent to the client. The sale is concluded only after:

• the client expressly accepts the quote, and

• full payment has been received by bank transfer.

3. Prices and Payment

Prices are exclusive of tax (excl. VAT).
VAT is added according to applicable tax regulations.
For EU companies with a valid intra-community VAT number, invoicing is carried out excluding VAT under the reverse charge mechanism.

Accepted payment methods: bank transfer or PayPal after quote approval.

4. Retention of Title

INNOV BACK PACK retains ownership of delivered products until full payment of the price has been received.
In the event of non-payment, even partial, the company reserves the right to reclaim ownership of the products at the customer’s expense and risk.

5. Delivery

Products are typically shipped within about one week after receipt of payment.
This period may vary depending on the quantity ordered. Any changes will be communicated to the client.
Shipping costs vary depending on the destination and are communicated before order confirmation.

6. Availability of Raw Materials

Delivery times may be affected by the availability of raw materials or components.
INNOV BACK PACK will inform the client of any delay as soon as possible and will seek an appropriate solution.

7. Right of Withdrawal

In accordance with applicable legislation, individual consumers have a right of withdrawal of 14 days from receipt of the products.
The product must be returned in its original condition: unused, unwashed, undamaged, uncustomized, and unaltered.
Return shipping costs are the responsibility of the client.
This right does not apply to customized or made-to-order products.

8. Customized Products

For custom-made products, a proof (Bon à Tirer or “BAT”) may be submitted to the client for approval.
Approval of the BAT constitutes a firm and final commitment to the order.
No returns or refunds will be accepted, except in the case of a proven defect.

9. Warranty

Products are covered by a legal two-year warranty against manufacturing defects.
This warranty does not cover:

• normal wear and tear,

• damage due to mishandling,

• or the use of parts not supplied by INNOV BACK PACK.

An optional one-year warranty extension is available for an additional cost, to be specified when ordering.

10. Liability

INNOV BACK PACK shall not be held liable for the following, regardless of the cause:

• loss of revenue,

• business interruption,

• loss of profits,

• data loss,

• time loss,

• lost opportunity,

• moral damage,

• damage to reputation,

• or any other indirect damages.

The client acknowledges that it is their responsibility to protect their IT system from threats (viruses, malware, etc.).
INNOV BACK PACK shall not be held liable for any damages resulting from the use of content from its websites.

11. Force Majeure

INNOV BACK PACK shall not be held liable for any failure to perform due to force majeure, including but not limited to:

• natural disasters,

• fires,

• floods,

• strikes,

• labor disputes,

• epidemics/pandemics,

• wars,

• government restrictions,

• or any other unforeseeable, irresistible, and external event.

12. Modification of the GTCS

INNOV BACK PACK reserves the right to modify these GTCS at any time.
The applicable GTCS are those in effect on the date the order is confirmed by the client.

13. Applicable Language

The GTCS are written in French.
In case of translation, only the French version shall prevail in the event of a dispute.

14. Governing Law and Dispute Resolution

These GTCS are subject to French law.
For individual clients residing outside France, protective provisions of their national law may apply if INNOV BACK PACK carries out or directs its activities in their country.
In the event of a dispute, a claim may be submitted to contact@innovbackpack.com.
The competent court will be the one with jurisdiction over the registered office of INNOV BACK PACK, unless otherwise required by law.
